JOB REQUIREMENTS: Healthcare Contracts Compliance Counsel Job Locations US-Remote Req No. 2021-7798 Category Human Resources, Legal & Organization Engineering Type Regular Full-Time Summary of Major Responsibilities The Healthcare Contracts Compliance Counsel leads activities to ensure the timely and accurate legal review to assure that Exact Sciences' contracts are compliant with applicable healthcare laws and regulations. This role serves as the healthcare compliance legal reviewer for contracts for all product lines of Exact Sciences; including, but not limited to, the screening, precision oncology, pipeline, and research and development business units. The Healthcare Contracts Compliance Counsel will also collaborate cross-functionally to train and educate applicable business units to ensure that they understand how to structure, draft, and implement contracts and transactions in compliance with applicable laws and regulations. Essential Duties and Responsibilities Serve as healthcare compliance legal reviewer for various contracts and agreements; including, but not limited to, consulting agreements, research agreements, grant agreements, laboratory services agreements, and business development agreements. Foster relationships and collaborate on projects with stakeholders across multiple segments by providing healthcare compliance legal guidance to agreement reviews. Serve as a legal consultant to cross-functional team members throughout the agreement negotiation process. Confirm that agreements are consistent with relevant laws, regulations, and guidelines; including, but not limited to, Anti-Kickback Statue, Stark Law, Foreign Corrupt Practices Act, False Claims Act, FDA, and HIPAA. Collaborate with the various stakeholders within the business units; including, but not limited to, marketing, medical, and regulatory colleagues to structure agreements and transactions in a compliant manner. Provide training to business units to ensure appropriate stakeholders understand the applicable laws and regulations as they structure transactions and contracts, as needed. Ability to issue-spot and collaborate with domain experts in healthcare regulatory compliance, intellectual property, privacy, and billing to ensure appropriate legal review of contracts.
